Removal Terms

Prior to Bill of Sale execution Buyer shall submit Operational Plan for material removal. Details must include prime contractor and subcontractor to perform services at Seller’s site. Buyer will include list of tool and equipment brining to Seller’s site. Seller shall review and ensure that all are qualified and maintain acceptable safety record. Operational Plan must be approved and incorporated in the final BOS. CBU only intervention would be from a WSBC due diligence perspective. If the identified prime contractor is not suited or equipped to perform the works, then stop work will be initiated. CBU will continue to provide oversite to ensure environmental management requirements are in place at all times by the buyer during the asset removal process The prime contractor will post signage including name and contact information at all assigned work zone delineated access and egress points Industrial Site Access CBU will provide access to site Monday to Friday not including holidays 7:30 am to 4:00 pm Buyer’s crews and service providers will arrive at CBU main gate first thing each day will sign in with site security will complete site access screening test at the beginning of each business day Buyer rep will receive a site radio when they arrive on site. will return the radio when exiting the site at the end of the day will radio call to site services each time crews are traveling between the main gate and the work area will escort all third party service providers to and from the main gate , following all posted signage will provide services as required to perform asset removal works Buyer’s prime contractor and sub-contractors shall comply with Chevron health, safety and environment guideline. Buyer’s prime contractor and sub-contractors shall strictly follow Seller’s site rules and regulation. Seller reserves full right to observe on site activities and stop work if necessary.
